Terms of Service

These Terms of Service (“Terms”) govern your use of isourcelocal.com (the “Service”), operated by iSourceLocal, LLC (“iSourceLocal,” “we,” “us”). By using the Service you agree to these Terms.

Please read carefully. These Terms include a binding arbitration clause and class action waiver (Section 12) and a limit on our liability (Section 11).

1. About iSourceLocal

iSourceLocal is a directory that helps consumers (“buyers”) discover local vendors (“vendors”): farmers, bakers, makers, and other independent small businesses. We are a Tennessee limited liability company.

We are not a seller. Goods and services listed on the Service are offered and sold by independent vendors. Transactions happen directly between buyers and vendors. We do not inspect, certify, package, deliver, or guarantee any vendor product.

2. Eligibility

You must be 18 or older to create an account, list a business, or submit a pre-order. The Service is intended for users in the United States.

If you create an account, you must provide accurate information and keep your credentials confidential. You are responsible for activity under your account.

You can browse and search the Service without an account. If you submit a pre-order or contact request, you authorize us to share the information you provided with the vendor you selected, as described in our Privacy Policy. Any purchase, payment, pickup, or delivery is solely between you and the vendor.

Featured listings are sold on a monthly subscription. By starting a Featured subscription:

Pilot vendors are governed by a separate pilot agreement. Where that pilot agreement conflicts with these Terms, the pilot agreement controls for those vendors.

The Service, including its design, text, logos, and software, is owned by iSourceLocal or its licensors. You may not copy, modify, or distribute it except as expressly permitted. Vendor-uploaded content remains owned by the vendor, subject to the license in Section 4. Content you submit through other means (e.g., reviews, when available) grants us a non-exclusive license to display it on the Service.

9. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or secure.

We make no representations about vendor products. Vendor listings, including certifications, organic status, ingredients, allergens, pricing, availability, and compliance with food safety or labeling laws, are supplied by vendors and are not verified by us. You acknowledge that:

Allergens and food safety. If you have allergies, dietary restrictions, or health conditions, contact the vendor directly before purchasing. We are not responsible for vendor disclosures or omissions.

10. Indemnification

You agree to defend, indemnify, and hold harmless iSourceLocal and its officers, employees, and agents from any claim, loss, or expense (including reasonable attorneys' fees) arising out of (a) your use of the Service, (b) your violation of these Terms, (c) for vendors, your products, business operations, or any claim by a buyer related to your goods or services, and (d) your violation of any law or any third party right.

11. Limitation of liability

To the maximum extent permitted by law, iSourceLocal's total liability to you for any claim arising out of or relating to the Service or these Terms is limited to the greater of (a) one hundred U.S. dollars ($100) or (b) the amount you have paid us in the 12 months before the claim.

iSourceLocal is not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or personal injury or illness arising from vendor goods. Some jurisdictions do not allow these limits. In that case, the limit applies to the maximum extent allowed.

12. Dispute resolution and arbitration

Please read this section carefully. It affects your legal rights.

Informal resolution. Before filing a claim, you agree to first try to resolve the dispute informally by emailing us at contact@isourcelocal.com with a description of the dispute. We will try to resolve it within 30 days.

Binding arbitration.If we can't resolve the dispute informally, you and iSourceLocal agree to resolve any claim arising out of or relating to these Terms or the Service through final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be conducted in Nashville, Tennessee, or remotely. Judgment on the award may be entered in any court of competent jurisdiction.

Exceptions. Either party may bring an individual action in small claims court, and either party may seek injunctive relief in court to protect intellectual property.

Class action waiver. You and iSourceLocal agree that disputes will be resolved only on an individual basis and not as a class, collective, or representative action. If a court finds this class waiver unenforceable, the arbitration agreement is void.

30-day opt-out.You may opt out of this arbitration agreement by sending a written notice to contact@isourcelocal.com within 30 days of first accepting these Terms, stating your name, the email tied to your account, and a clear statement that you opt out of arbitration. Opting out won't affect the rest of these Terms.

13. Governing law

These Terms are governed by the laws of the State of Tennessee, without regard to its conflict-of-laws rules. Subject to Section 12, the state and federal courts located in Davidson County, Tennessee will have exclusive jurisdiction.

14. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if you breach these Terms or for any other reason in our reasonable discretion. You may stop using the Service at any time; vendors may close an account by emailing us.

Sections that by their nature should survive termination, including Sections 4 (license to vendor content already displayed), 8, 9, 10, 11, 12, and 13, survive.

15. Changes to these Terms

We may update these Terms from time to time. We will post the updated version with a new “Effective” date. For material changes, we will notify registered users by email. If you continue to use the Service after the changes take effect, you accept the updated Terms.
